End User License Agreement (EULA)
Effective date: January 31, 2026
This End User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and TrueLedger, LLC ("TrueLedger", "we", "us") governing your access to and use of the TrueLedger software platform, website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by this Agreement.
License Grant
TrueLedger grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes, in accordance with this Agreement and any applicable subscription plan.
Ownership
The Service, including all software, algorithms, user interfaces, designs, and documentation, is owned by TrueLedger and is protected by intellectual property laws. This Agreement does not grant you ownership of the Service.
Account Responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate information and promptly notify us of any unauthorized use.
Acceptable Use
You agree not to reverse engineer, decompile, or attempt to extract source code; use the Service for unlawful or fraudulent purposes; interfere with or disrupt the Service; or circumvent plan limitations or access controls.
Third-Party Integrations (Including QuickBooks)
The Service may connect to third-party platforms (such as Intuit QuickBooks). You acknowledge that we access third-party data only with your authorization and that third-party services are governed by their own terms and policies.
Subscription, Trials, and Billing
Certain features require a paid subscription. If a free trial is offered, it converts to a paid subscription unless canceled before the trial ends. Fees are billed according to your selected plan and billing interval.
Data Accuracy Disclaimer
TrueLedger provides analytical insights based on available billing data and configured rules. We do not guarantee that all findings represent actual revenue loss. You are responsible for reviewing and verifying findings before making business decisions.
Termination
We may suspend or terminate access if you violate this Agreement. You may terminate your account at any time. Upon termination, your license ends and data may be deleted according to our retention policies.
Limitation of Liability
To the maximum extent permitted by law, TrueLedger shall not be liable for indirect, incidental, or consequential damages, including loss of profits, revenue, data, or business interruption. Our total liability will not exceed the fees you paid in the preceding 12 months.
Indemnification
You agree to indemnify and hold harmless TrueLedger from claims arising out of your misuse of the Service, violation of this Agreement, or business practices.
Governing Law
This Agreement is governed by the laws of the State of Michigan, without regard to conflict of law principles.
